01 Acceptance of Terms
By accessing or using the Cedar Digital website (cedardigital.io), submitting an inquiry, booking a consultation, or engaging us for services, you agree to be bound by these Terms & Conditions and our Privacy Policy.
If you do not agree to these terms, please do not use our website or services.
We reserve the right to update these terms at any time. Continued use of our website or services after changes constitutes your acceptance of the revised terms.
02 About Cedar Digital
Cedar Digital (registered as Cedar Digital) is a digital product venture studio offering software development, product design, AI solutions, analytics, automation, and related digital services. We operate across Qatar, Saudi Arabia, and the UAE.
Our registered office is in Doha, Qatar. For contact information, see Section 15.
03 Website Use
The Cedar Digital website is provided for informational and commercial purposes. By using this website, you agree that you will:
- Use the website only for lawful purposes
- Not attempt to gain unauthorized access to any part of the website or its underlying systems
- Not transmit any viruses, malware, or harmful code
- Not scrape, copy, or reproduce website content without written permission
- Not misrepresent your identity or impersonate any person or entity
- Comply with all applicable local, national, and international laws
We reserve the right to restrict or terminate access to the website for any user who violates these terms.
04 Services and Engagements
Cedar Digital provides services including but not limited to:
- Product design and UI/UX services
- Custom software and mobile application development
- AI and agentic AI solution development
- Product analytics and data-driven growth consulting
- Marketing automation and business process automation
- Customer service platform development
- InsurTech, real estate, and omnichannel platform products
All services are provided under a separate written agreement, Statement of Work (SOW), or contract signed between Cedar Digital and the client. These Terms & Conditions apply to website use and initial engagement; specific project terms are governed by the signed agreement.
05 Proposals, Quotes, and Agreements
Any proposal, quotation, or estimate provided by Cedar Digital is:
- Valid for 30 days from the date of issue unless otherwise stated
- Subject to change based on scope modifications or additional discovery findings
- Not a binding commitment until a formal agreement or SOW is signed by both parties
Commencement of work is subject to receipt of a signed agreement and, where applicable, an initial payment as agreed in the SOW.
06 Payment Terms
Payment terms are defined in the individual project agreement or SOW. General terms include:
- Invoices are due within 14 calendar days of issuance unless otherwise agreed
- Late payments may incur a 2% monthly late fee on the outstanding balance
- Cedar Digital reserves the right to pause or suspend work on projects with overdue invoices
- All prices are quoted exclusive of applicable VAT or taxes unless stated otherwise
- Refunds are governed by the specific project agreement and are not automatically guaranteed
07 Intellectual Property
Website Content
All content on the Cedar Digital website — including text, graphics, logos, images, case studies, and code — is the intellectual property of Cedar Digital and is protected by applicable copyright laws. You may not reproduce, distribute, or use any content without prior written permission.
Client Deliverables
Upon full payment of all agreed fees, Cedar Digital transfers ownership of client-specific deliverables (custom code, designs, and assets) to the client as specified in the project agreement.
Cedar Digital retains the right to:
- Display completed work in its portfolio and case studies (subject to confidentiality agreements)
- Retain ownership of proprietary frameworks, tools, libraries, and methodologies used in delivery
Third-Party Components
Some deliverables may include open-source or third-party components. These remain subject to their respective licenses.
08 Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the course of the engagement. This includes business strategies, technical specifications, financial information, and client data.
Confidentiality obligations survive the termination of any agreement for a period of 3 years, unless a separate Non-Disclosure Agreement (NDA) specifies otherwise.
09 Warranties and Disclaimers
Website
The Cedar Digital website is provided "as is" without any warranties, express or implied. We do not warrant that the website will be error-free, uninterrupted, or free of viruses or other harmful components.
Services
Cedar Digital warrants that services will be delivered with reasonable skill and care, in accordance with the agreed scope. We do not guarantee specific business outcomes, revenue results, or growth metrics.
Third-Party Tools
We use third-party services (cloud hosting, APIs, analytics tools) as part of our delivery. We are not responsible for the availability, performance, or changes to third-party services beyond our control.
10 Limitation of Liability
To the maximum extent permitted by applicable law:
- Cedar Digital shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our website or services
- Our total liability for any claim arising from a project engagement shall not exceed the total fees paid by the client for the specific project in question
- We are not liable for losses arising from client-provided inaccurate information, delayed approvals, or scope changes initiated by the client
11 Project Changes and Cancellations
Scope Changes
Any changes to the agreed scope must be submitted in writing and will be assessed for time and cost impact. Approved changes will be formalized in a Change Order before implementation.
Client-Initiated Cancellation
If a client cancels a project after work has commenced:
- Work completed to date is billable at the agreed rate
- Any non-refundable third-party costs incurred on behalf of the client remain payable
- A minimum cancellation fee may apply as specified in the project agreement
Cedar Digital-Initiated Termination
Cedar Digital reserves the right to terminate a project if a client is in material breach of the agreement (including non-payment) with 14 days' written notice. Completed deliverables may be withheld until all outstanding payments are settled.
12 Hybrid Venture Model Terms
For clients engaged under the Hybrid Venture Model (discounted fees in exchange for a revenue or equity share):
- The revenue or equity share arrangement is governed by a separate legally binding Venture Agreement
- Cedar Digital is not responsible for the commercial success or failure of the venture
- Both parties must comply with applicable corporate and investment laws in their respective jurisdictions
- Revenue share reporting must be provided quarterly, or as specified in the Venture Agreement
13 Links and Third-Party Content
Our website may contain links to third-party websites. These links are provided for convenience only. Cedar Digital does not endorse, control, or take responsibility for the content, products, or services of any third-party website.
We are not responsible for any loss or damage arising from your use of any third-party website.
14 Governing Law and Dispute Resolution
These Terms & Conditions are governed by the laws of the State of Qatar. Any disputes arising from these terms or from a project engagement shall first be attempted to be resolved through good-faith negotiation.
If negotiation fails, disputes shall be submitted to the competent courts of Doha, Qatar, unless otherwise agreed in a project-specific contract.
